Article 1 Basis for the conclusion of this Contract

2 . 1 发 包 人 给 设 计 人 的 委 托 书 或 设 计 中 标 文 件

2.1 Letter of Authority or documents on letter of acceptance provided by the
Employer to the Designer.

第三条 合 同 文 件 的 优 先 次 序

Article 3 Priority of the contractual documents
Current national and local technological standards, rules and regulations.

构成本合同的文件可视为是能互相说明的，如果合同文件存在歧义或不一致，
则根据如下优先次序来判断：

The several documents forming the Contract are to be taken as mutually explanatory
of one another, but in case of ambiguities or discrepancies, the priority of the
documents forming the contract shall be as follows:

第五条 发包人向设计人提交的有关资料、文件及时间。

Article 5 Materials and documents delivered by the Employer to the Designer and time for
delivery of materials and documents

1.上级部门的批复文件。(合同生效后)

1.Official reply document by higher authority(after effectiveness of contract);

2.设计开始前应提供有关技术规格资料。(合同生效后)

2.The Employer should supply related technological specification documents before
starting to design;

3.主管部门对方案设计的审批意见。（施工图开始前提供）

supply.(supply before construction drawing)

第六条 设 计 人 向 发 包 人 交 付 的 设 计 文 件 、 份 数 、 地 点 及 时 间 。

Article 6 Delivery of design documents by the Designer to the contract issuing party and
copies, location and time for the delivery

第七条 费用。

Article 7 Charges

7. 1 双 方 商 定 ， 本 合 同 的 设 计 费 为
万元。收 费 依 据 和 计 算 方 法
按 国 家 和 地 方 有 关 规 定 执 行 ， 国 家 和 地 方 没 有 规 定 的 ， 由 双 方
商 定 。

7.1 The Parties agree that charges for the design hereunder shall be . The basis

for charges and the method of computing shall be in accordance with relevant national
and local provisions. Where there are no relevant national and local provisions, it shall
be discussed and determined by the Parties.

7. 2 如 果 上 述 费 用 为 估 算 设 计 费 ， 则 双 方 在 初 步 设 计 审 批 后 ， 按
批 准 的 初 步 设 计 概 算 核 算 设 计 费 。 工 程 建 设 期 间 如 遇 概 算 调
整 ， 则 设 计 费 也 应 作 相 应 调 整 。

7.2 If the design charges mentioned above are appraised prices, both parties will
compute design charges based on the approved rough estimate of preliminary design
after preliminary design approval. If there is rough estimate adjustment in period of
engineering construction, the design price will be adjusted accordingly.

第八条 支付方式。

Article 8 Terms of payment

8 . 1 本 合 同 生 效 后 三 天 内 ， 发 包 人 支 付 设 计 费 总 额 的 3 0 % ， 计
万 元 作 为 定 金 （ 合 同 结 算 时 ， 定 金 抵 作 设 计 费 ）。

8.1 Within three days upon the effectiveness of this contract, the Employer shall pay
the Designer 30% of contract price namely RMB Yuan as the down payment.(
The down payment shall be counted as the charges for design upon settlement of the
contract).

8.2 设计人提交 方案 设计文件后三天内，发包人支付设 计 费 总 额 的 2 0 % ，
计 万 元 ； 设 计 人 提 交 施 工 图 设 计 文 件 后 三 天 内 ， 发 包 人
支 付 设 计 费 总 额 的 4 5 % ， 计 万 元 ； 工 程 完 工 后 ， 结 清 设 计
费 ， 不 留 尾 款 。

8.2 Within three days upon the submission of schematic design documents by the
Designer, the Employer will pay 20% of contract price namely RMB Yuan.
Within three days upon the submission of construction drawings by the Designer, the
Employer will pay 45% of contract price namely RMB Yuan. After completion of
the project, the Employer will pay the rest RMB

remainder.

8 . 3 双 方 委 托 银 行 代 付 代 收 有 关 费 用 。

8.3 The Parties shall entrust bank to collect and pay for relevant charges.

9 . 1 . 1 发 包 人 按 本 合 同 第 五 条 规 定 的 内 容 , 在 规 定 的 时 间 内 向 设 计
人 提 交 基 础 资 料 及 文 件 , 并 对 其 完 整 性 、 正 确 性 及 时 限 负 责 。 发
包 人 不 得 要 求 设 计 人 违 反 国 家 有 关 标 准 进 行 设 计 。
发 包 人 提 交 上 述 资 料 及 文 件 超 过 规 定 期 限 1 5 天 以 内 ， 设 计 人 按
本 合 同 第 六 条 规 定 的 交 付 设 计 文 件 时 间 顺 延 ； 发 包 人 交 付 上 述
资 料 及 文 件 超 过 规 定 期 限 1 5 天 以 上 时 ， 设 计 人 有 权 重 新 确 定 提
交 设 计 文 件 的 时 间 。

a n d t i m e l i m i t o f t h e m a t e r i a l s a n d d o c u m e n t s . T h e E m p l o y e r
s h a l l n o t r e q u i r e t h e D e s i g n e r t o c o n d u c t d e s i g n i n v i o l a t i o n o f
r e l e v a n t n a t i o n a l s t a n d a r d s .
I n c a s e t h e r e i s a d e l a y o f l e s s t h a n 1 5 d a y s e x c e e d i n g t h e
s p e c i f i e d t i m e l i m i t f o r t h e d e l i v e r y o f t h e a b o v e m a t e r i a l s a n d
d o c u m e n t s b y t h e E m p l o y e r , t h e t i m e l i m i t f o r t h e D e s i g n e r t o
d e l i v e r d e s i g n d o c u m e n t s s h a l l b e e x t e n d e d a c c o r d i n g l y ; i n c a s e
t h e r e i s a d e l a y o f m o r e t h a n 1 5 d a y s e x c e e d i n g t h e s p e c i f i e d t i m e
l i m i t f o r t h e d e l i v e r y o f t h e a b o v e m a t e r i a l s a n d d o c u m e n t s b y t h e
E m p l o y e r , t h e D e s i g n e r s h a l l h a v e t h e r i g h t t o r e – d e t e r m i n e t h e
t i m e f o r d e l i v e r y o f t h e d e s i g n d o c u m e n t s .

9 . 1 . 2 发 包 人 变 更 委 托 设 计 项 目 、 规 模 、 条 件 或 因 提 交 的 资 料 错
误 ， 或 所 提 交 资 料 作 较 大 修 改 ， 或 设 计 周 期 变 化 ， 以 致 造 成 设
计 人 设 计 返 工 或 工 作 量 加 大 时 ， 双 方 除 另 行 协 商 签 订 补 充 协 议
（ 或 另 订 合 同 ）、 重 新 明 确 有 关 条 款 外 ， 发 包 人 应 按 设 计 人 所 耗
工 作 量 向 设 计 人 支 付 返 工 费 。
在 未 签 订 合 同 前 发 包 人 已 同 意 ， 设 计 人 为 发 包 人 所 做 的 各 项 设
计 工 作 ， 发 包 人 应 支 付 相 应 设 计 费 。

d e s i g n w o r k s c o n d u c t e d b y t h e D e s i g n e r .

9 . 1 . 3 在 合 同 履 行 期 间 , 发 包 人 要 求 终 止 或 解 除 合 同 , 设 计 人 未 开
始 设 计 工 作 的 , 不 退 还 发 包 人 已 付 的 定 金 ; 已 开 始 设 计 工 作 的 , 发
包 人 应 根 据 设 计 人 已 进 行 的 实 际 工 作 量 , 不 足 一 半 时 , 按 该 阶 段 设
计 费 的 一 半 支 付 ; 超 过 一 半 时 , 按 该 阶 段 设 计 费 的 全 部 支 付 。

9 . 1 . 3 D u r i n g t h e p e r f o r m a n c e o f t h e c o n t r a c t , i f t h e E m p l o y e r
r e q u i r e s t o t e r m i n a t e o r c a n c e l t h e c o n t r a c t b e f o r e t h e D e s i g n e r
s t a r t s t h e d e s i g n w o r k , t h e D e s i g n e r w i l l n o t r e t u r n t h e d o w n
p a y m e n t a l r e a d y p a i d b y t h e E m p l o y e r ; i f t h e D e s i g n e r h a s s t a r t e d
t h e d e s i g n w o r k , t h e E m p l o y e r s h a l l p a y f o r t h e a c t u a l w o r k l o a d
a l r e a d y d o n e b y t h e D e s i g n e r . W h e n t h e a c t u a l w o r k l o a d o f t h e
d e s i g n i s l e s s t h a n h a l f o f t h e w o r k a t t h e s t a g e , t h e E m p l o y e r
s h a l l p a y h a l f o f t h e p a y m e n t f o r t h e d e s i g n w o r k a t t h e s t a g e .
W h e n t h e a c t u a l w o r k l o a d o f t h e d e s i g n i s m o r e t h a n h a l f o f t h e
w o r k a t t h e s t a g e , t h e E m p l o y e r s h a l l p a y a l l t h e p a y m e n t f o r t h e
d e s i g n w o r k a t t h e s t a g e .

9 . 1 . 4 发 包 人 必 须 按 合 同 规 定 支 付 定 金 , 收 到 定 金 作 为 设 计 开 工 的
标 志 。 未 收 到 定 金 ， 设 计 人 有 权 推 迟 设 计 工 作 的 开 工 时 间 , 且 交
